HKMC Completes Fourth Infrastructure Loan-Backed Securities Issuance (Bauhinia 4)

The HKMC completed its fourth infrastructure loan-backed securities issuance (Bauhinia 4) issuing US$457.3 million across five classes of HKEX-listed notes.

What Changed

  • HKMC completed the Bauhinia 4 ILBS transaction, issuing US$457.3 million in notes across five classes listed on HKEX.
  • The underlying portfolio comprises 42 debt obligations across 32 projects in 15 countries totaling approximately US$481.5 million, partly reallocating capital from redeemed Bauhinia 1 assets.
  • The transaction features a US$128.5 million sustainability tranche (Class A1-SU) compliant with ICMA principles and anchor backing from AIIB.

The Hong Kong Mortgage Corporation Limited (HKMC), issuing on behalf of the Hong Kong Monetary Authority (HKMA), announced on October 30, 2026, the successful completion of its fourth infrastructure loan-backed securities (ILBS) issuance under the Bauhinia brand ("Bauhinia 4"). The issuance offers professional investors direct exposure to a diversified portfolio of project and infrastructure debt across multiple geographies and sectors.

The Bauhinia 4 portfolio consists of 42 infrastructure debt obligations spanning 32 individual projects in 15 countries and 11 sub-sectors, with an aggregate portfolio value of approximately US$481.5 million. A portion of the portfolio assets originated from the redemption of Bauhinia 1 following the conclusion of its three-year non-call period. In total, HKMC issued five classes of notes—Class A1-SU, Class A1, Class B, Class C, and Class D—with an aggregate principal of US$457.3 million, all listed on The Hong Kong Stock Exchange. To maintain an efficient capital structure while responding to investor demand for mezzanine risk, HKMC included an unrated Class D tranche. HKMC functions as the sponsor, collateral manager, and risk retention holder for the transaction.

Sustainability remains a central element of the Bauhinia platform. Bauhinia 4 includes a US$128.5 million sustainability tranche (Class A1-SU) backed by green, social, and sustainable assets. This tranche was issued pursuant to HKMC's Social, Green and Sustainability Financing Framework, which aligns with International Capital Market Association (ICMA) bond principles and guidelines.

The Asian Infrastructure Investment Bank (AIIB) participated as an anchor investor through its US$300 million investment programme aimed at mobilizing private capital into infrastructure. Standard Chartered Bank served as Sole Global Co-ordinator, with BNP Paribas, CICC Hong Kong Securities, ING Bank (Singapore Branch), MUFG Securities Asia, SMBC Nikko Securities (Hong Kong), and Standard Chartered Bank as Joint Bookrunners. Fubon Bank (Hong Kong) and Haitong International Securities Group served as Co-Managers.
